These Terms of Use (“Terms”) apply to the content, functionality, and products available through the online store (“Meridian Store”) operated by Mercury Technologies, Inc. (“Mercury”, “we”, or “us”), located at store.mercury.com

These Terms govern your access to and use of the Meridian Store. They do not apply to Mercury’s financial services, which are governed by the Mercury Terms of Use. By accessing the Meridian Store or purchasing products, you agree to be bound by these Terms.

 

Information and Communication
When you visit the Meridian Store, you may provide us with information about yourself. Our Mercury Privacy Policy explains our practices with respect to that information.

To provide you with service and security, we may need to send you emails or text messages (for example, to confirm an order). You authorize us to send these messages when you use the Store and provide your contact details. Standard text or data charges from your carrier may apply.

 

Intellectual Property
As between you and Mercury, Mercury and its licensors exclusively own all rights, title, and interest in the patents, copyrights, moral rights, trademarks, service marks, logos, designs, trade secrets, and other intellectual property embodied by or contained in the Meridian Store (collectively, “Meridian Store IP”). The Meridian Store IP is protected by intellectual property laws, and all rights not expressly granted to you in these Terms are reserved.

 

Access to the Meridian Store
Mercury grants you a limited, revocable, non-exclusive, non-transferable license to access the Meridian Store for the purpose of shopping for products. This license does not include a right to use our logos or trademarks outside of the context of the Store. Any unauthorized use of the Meridian Store or its content automatically terminates this license. 

 

Products, Contents, and Specifications
All features, content, specifications, products, and descriptions described in the Meridian Store are subject to change at any time without notice. The Meridian Store exclusively offers print editions of our online magazine, which are provided free of charge, including applicable shipping and handling fees. We reserve the right to limit the quantity of magazines per order and per customer.

Orders are shipped using carriers selected by Mercury. Estimated delivery dates are not guaranteed, and we are not liable for any loss or damage resulting from a delay in shipment.

Unless otherwise noted, products will be delivered FCA delivery location (as such location is designated on the applicable order) (Incoterms 2010).

 

Sanctions and Export Policy
You may not use the Meridian Store or purchase any product in or for the benefit of a country, organization, entity, or person embargoed or blocked by any government, including those on sanctions lists identified by the U.S. Office of Foreign Assets Control (OFAC). We do not claim or guarantee that the Meridian Store or its products will be appropriate or available for any particular location or jurisdiction.

 

No Warranties
We provide the Meridian Store, Meridian Store IP, and all Products “as is” and “as available”, without any express, implied, or statutory warranties of title, merchantability, fitness for a particular purpose, noninfringement, or any other type of warranty or guarantee.

Mercury disclaims any knowledge of, and does not guarantee: (a) the accuracy or reliability of any data provided through the store; (b) that the products will meet your specific requirements; (c) that the store will be available, uninterrupted, or secure; (d) that we will correct any defects or errors; or (e) that the store is free of viruses or other harmful code. You are solely responsible for any damage to your property or loss of data that results from use of the store. 

 

Limitation of Liability
Under no circumstances will Mercury be responsible or liable to you for any indirect, punitive, incidental, special, consequential, or exemplary damages resulting from your use or inability to use the Meridian Store, or for lost profits, personal injury, or property damages.

You agree to limit any additional liability not disclaimed or denied by Mercury to your direct and documented damages, and you further agree that under no circumstances will such liability exceed in the aggregate the greater of the amounts paid by you to Mercury for products during the three-month period immediately preceding the event that gave rise to your claim, and USD $100.

 

Disputes, Governing Law, and Arbitration

  1. Binding arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Meridian Store (a "Claim") shall be resolved through binding arbitration. You agree to first contact us at [email protected] and attempt to resolve the dispute informally. If Mercury has not been able to resolve a dispute after sixty (60) days, such dispute will be finally and exclusively resolved by binding arbitration governed by the Federal Arbitration Act ("FAA").  Neither party shall have the right to litigate such Claim in court or to have a jury trial, except either party may bring its Claim in its local small claims court, if permitted by that small claims court's rules and if within such court's jurisdiction.  The arbitration shall be commenced and conducted by JAMS pursuant to its then current comprehensive arbitration rules and procedures.  Each party will be responsible for paying any JAMS filing, administrative, and arbitrator fees in accordance with JAMS rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. If conducted in person, the arbitration shall take place in the United States county where you reside.

  2. Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the Claims between us and you individually. To the full extent permitted by law: (1) No arbitration or proceeding shall be joined with any other; (2) There is no right or authority for any Claim to be arbitrated or resolved on a class action-basis or to utilize class action procedures; and (3) there is no right or authority for any Claim to be brought in a purported representative capacity on behalf of the general public or any other persons.  You agree that you may bring Claims against us only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

  3. Governing Law: By using the Meridian Store, you agree that the laws of the State of California, without regard to principles of conflict laws, will govern these Terms and any dispute that might arise between you and Mercury.

 

Modification and Severability
We have the right to change or add to these Terms at any time, solely with prospective effect, by posting such changes on our website. You can find out when these Terms were last changed by checking the “Last Updated” date at the top of the page. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.
